USER AGREEMENT

These terms of user agreement form a legally binding agreement between you (hereinafter referred to as “you” or “your” or “User”) and www.imaginableaudioshop.com (“we” “our” “us” or “ImaginableAudioShop.com”), the website having a URL https://imaginableaudioshop.com (the “Site”). By accessing, browsing, or making a purchase on our Site, you agree to be bound by these Terms, together with our Privacy Policy and Intellectual Property License Agreement that apply to specific products.

You are advised to read the terms of this user agreement with due care and attention and understand them before entering into this agreement and using this site and its products. Your access or use of this website is expressly conditioned on your acceptance of the following terms of this agreement. By using the website or by indication of your consent to use the website or by purchasing the products from this website, you expressly consent that you agree to the terms of the agreement. This agreement is a legally binding contract between you and imaginableaudioshop.com and sets some liabilities upon both parties. You agree that you will not use this website for illegal purposes. If you do not agree to the following terms and conditions of this agreement, you must immediately stop using or accessing this site or purchasing our products. Imaginableaudioshop.com reserves the right, in our sole discretion, to change, modify, update, delete or amend these terms from time to time and post the most up to date version on our website that shall be effective immediately upon posting. Such modifications and updates shall be notified to you via email or by publishing on the website.

Imaginableaudioshop.com provides digital audio products, including but not limited to loops, samples, beats, songs, and related sound content and other related material that may be added in the future on the website. All Products are sold under and subject to the Intellectual Property License Agreement, which is hereby incorporated into this User Agreement. By purchasing any Product, you agree to the terms of both this User Agreement and the Intellectual Property License Agreement.

3. Registration

Account registration is free. In order to purchase our Products or access certain features of the website, you are required to register and create an account by providing accurate personal details such as your name, email address, payment details, and password. By registering, you agree to these Terms of this agreement on your own behalf. The Website reserves the right to suspend, terminate, or cancel any account in the event of misuse, fraudulent activity, or violation of these Terms. While creating an account, you undertake that:

  1. You will provide complete, current, accurate, truthful and non-fraudulent information,
  2. You will keep your account password confidential and secure and you are solely responsible for the security of your account and login details,
  3. You must be at least 13 years of age or older to use this site. If you are under the age of 18, you must get your parent or guardian’s consent to enter into this agreement.
  4. You are fully responsible for all activity that occurs under your account.

You do not acquire any ownership rights by purchasing or accessing our products. The use of our content and products is strictly subject to the terms outlined in our Intellectual Property License Agreement. We may update, modify, or remove content at any time without prior notice, and we also reserve the right to moderate or remove user-generated content that violates these Terms.

By submitting, uploading, sharing, storing or otherwise providing any text, images, audio, video, data, reviews, comments, ratings, suggestions, feedback, or other materials (“User Content”) on or through ImaginableAudioShop.com, you grant us a worldwide, royalty-free, non-exclusive, irrevocable license, with the right to transfer and sublicense, to use, copy, reproduce, distribute, adapt, modify, translate, process, publicly perform, display, publish, and otherwise make use of such User Content, in whole or in part, in any media format, for the purpose of operating, improving, marketing, and providing the services offered by ImaginableAudioShop.com.

By submitting User Content, you represent and warrant and covenant that:

User Content must not include or promote:

  3. Violence, harassment, bullying, or threats;
  4. Promotion of terrorism, crime, or unlawful activities;
  5. Defamatory, obscene, misleading, or false information;
  6. Spam, fraudulent schemes, or unauthorized advertising;

ImaginableAudioShop.com reserves the right, but is not obligated, to review, monitor, edit, remove, or restrict access to any User Content at its sole discretion if it determines that such content violates these Terms, applicable laws, or third-party rights. 1.1  Reporting Copyright Infringement

If you believe that something on our Website or Services violates your copyright, you can notify us by sending a written report. Your notice should include a signed statement (electronic or physical) from you or the copyright holder, a clear description of the copyrighted work that you believe has been used without permission and details that help us identify and locate the specific material in question on our Website. You further agree and acknowledge to defend, indemnify and hold harmless ImaginableAudioShop.com and its directors, officers, employees, agents, advisors, consultants, assignees, affiliates, licensors, and associated service providers against any, damages, losses, costs, claims, demands, actions, proceedings, liabilities and expenses, including reasonable attorneys’ fees. This obligation applies where such claims arise out of or relate to a) your breach of these Terms, b) your use or misuse of the Website, services, or products, or c) your violation of the rights of any third party, including intellectual property, privacy or contractual rights or d) any unlawful or illegal act by you. ImaginableAudioShop.com also reserves the exclusive right to defend and settle any matter subject to indemnification under this section at its own expense and you agree to fully cooperate with such defense. Parent or legal guardian agrees to be fully responsible for the minor’s actions, including any purchases made and accepts these Terms on the minor’s behalf. If we find through our internal investigation or any other source that such information has been provided without proper consent, we may delete it immediately.

  1. Term and TERMINATION

The agreement is effective from the earlier of the date you access our website or purchase our Product from the website until terminated according to its terms. We reserve the rights to suspend or terminate this Agreement and/ or these terms and conditions at any time for any reason, including but limited to; i) any improper use of this site by the you; or (ii) your failure to comply with the terms of the website; (iii) your violation or misappropriation of the website intellectual property and (iv) your breach of user agreement. If we terminate this agreement, you must immediately stop using the website and its Products. Termination by Imaginableaudioshop.com will be effective upon (a) service of notice to you or (b) your account cancellation.

You agree that we hold the exclusive right to update, revise, add, supplement, delete, modify or change the terms, features, functions, benefits, fees and costs or the policies relating to this website at any time for safety, legal or technical reasons. It expressly replace, override and terminate all prior agreements, discussion and understandings whether written or oral, express or implied, relating to the subject matter governing their relationship.

Headings used in this agreement are only for convenience. They are not intended to affect the meaning, scope or interpretation of any part of this Agreement.

If any provision or part of this agreement is found  or declared to be invalid, unlawful, unenforceable, or in conflict with any law of a federal, state, or local government having jurisdiction over this agreement, the rest of the provisions shall continue to be valid and enforceable.

Imaginableaudioshop.com shall not be held liable for any delay or failure to perform its duties and obligations under this agreement if such delay or failure is directly or indirectly resulted by the events reasonably beyond the control of Imaginableaudioshop.com. Such events may include, but are not limited to, the acts of god, fog, earthquake, the act of a public enemy, pandemic, embargo, fire, flood, storms, strike or other labour dispute, acts of terrorism, government requirement, or civil or military authority.

This Agreement applies only to the parties involved in of this agreement, ImaginableAudioShop.com and you. It does not grant any rights, benefits, or remedies to any other person or entity, unless specifically stated otherwise.

We may assign our rights and obligations under this Agreement at any time to any party. You may not assign your rights and/or obligations under this Agreement without obtaining our prior written consent.

These terms, along with all related documents are prepared in the English language. If these terms are translated into another language or otherwise reprinted and any differences arise from such translation then the English language version of these terms shall govern.
